ARTOS® 2D & 3D File License Agreement
This 2D & 3D File License Agreement (the “Agreement”) governs access to and use of downloadable digital files, including but not limited to DWG, DXF, STEP, GLB, OBJ, and 3DS formats (the “Files”), provided by Westover, Inc., doing business as Artos (“Artos,” “Company,” “we,” “us,” or “our”).
By downloading, accessing, or using the Files, you (“User” or “you”) agree to be bound by this Agreement. If you do not agree, you must not download or use the Files.
1. Acceptance and License Conditions
Your right to use the Files is expressly conditioned upon your compliance with this Agreement.
Any use of the Files in violation of this Agreement automatically terminates the license granted herein.
2. Grant of Limited License
Subject to your compliance with this Agreement, Artos grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Files solely for Permitted Uses.
All rights not expressly granted are reserved by Artos.
3. Definitions
For purposes of this Agreement:
- “Files” means all downloadable 2D and 3D digital assets provided by Artos.
- “Permitted Use” means use strictly for internal design, specification, and visualization of Artos products in connection with a specific project.
- “Public Use” means display of renderings, images, or materials in portfolios, presentations, websites, or marketing.
- “Derivative Materials” means any modified, converted, adapted, or partially extracted version of the Files, including geometry, textures, or data derived from the Files.
- “Project Team” means contractors or collaborators working directly on the same project involving Artos products.
4. Permitted Use
You may use the Files solely for:
- Internal design and development
- Project-specific specification and planning
- Creation of renderings and visualizations
- Client presentations and project documentation
Public Use is permitted only if it complies with Section 6, Attribution.
5. Restrictions and Prohibited Uses
The following are strictly prohibited and constitute material breaches of this Agreement:
5.1 Manufacturing and Replication
You may not use the Files, directly or indirectly, for:
- Manufacturing, fabrication, or production
- Prototyping, tooling, machining, casting, molding, or 3D printing
- Engineering replication or creation of substantially similar products
5.2 Derivative and Competitive Use
You may not:
- Create or distribute Derivative Materials for reuse, resale, or publication
- Extract geometry, measurements, topology, or technical data for replication
- Use the Files or Derivative Materials to develop, support, or promote competing products
5.3 Redistribution and Sharing
You may not:
- Sell, license, sublicense, distribute, or transfer the Files or Derivative Materials
- Upload or publish the Files to any third-party platform, library, or marketplace
- Embed the Files in downloadable scenes, templates, or reusable content
Limited Exception: Files may be shared only with Project Team members, provided they are bound by this Agreement and use the Files solely for the same project.
5.4 Data Extraction and Automation
You may not:
- Use scraping, crawling, or automated tools to download Files
- Systematically collect or harvest Files
- Circumvent technical safeguards or access controls
5.5 Removal of Notices
You may not remove, alter, or obscure:
- Copyright notices
- Attribution language
- Embedded metadata or identifying information
6. Attribution and Trademark Use
For any Public Use, you must provide clear and reasonably prominent attribution to Artos as follows:
“Model courtesy of Artos®”
Attribution must be placed in a visible location, such as a caption, credits, or description.
Use of the Artos name does not grant rights to use logos or trademarks beyond attribution.
You may not imply sponsorship, endorsement, or affiliation beyond accurate attribution.
7. Intellectual Property Rights
All Files and Derivative Materials are and shall remain the exclusive property of Westover, Inc.
The Files are protected by copyright and other intellectual property laws.
No ownership rights are transferred under this Agreement.
8. Accuracy and Use Disclaimer
The Files are provided for reference and visualization purposes only and may not reflect exact:
- Dimensions or tolerances
- Finishes or materials
- Product configurations or internal components
- Installation requirements or clearances
- Current product availability
The Files must not be relied upon for fabrication, engineering, or installation decisions.
All final specifications must be verified using official Artos documentation.
9. Disclaimer of Warranties
THE FILES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
- Accuracy or completeness
- Fitness for a particular purpose
- Non-infringement
- Compatibility with third-party software
- Absence of errors or interruptions
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESTOVER, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
11. Indemnification
You agree to indemnify, defend, and hold harmless Westover, Inc. from any claims, damages, losses, or expenses arising from your use of the Files or violation of this Agreement.
12. Termination and Deletion
This license automatically terminates upon any breach of this Agreement.
Upon termination, you must:
- Immediately cease all use of the Files
- Delete all copies of the Files and Derivative Materials
- Upon request, certify such deletion in writing
13. Equitable Relief
You acknowledge that unauthorized use of the Files may cause irreparable harm.
Artos shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law.
14. Reservation of Rights
All rights not expressly granted are reserved by Artos.
Artos reserves the right to modify, suspend, or discontinue access to the Files at any time without notice or liability.
15. Governing Law and Venue
This Agreement shall be governed by the laws of the State of Nebraska.
Any disputes arising under this Agreement shall be brought exclusively in the state or federal courts located within Nebraska, and you consent to such jurisdiction.
16. General Provisions
- No Waiver: Failure to enforce any provision shall not constitute a waiver.
- Severability: If any provision is invalid, the remainder shall remain in effect.
- Assignment: You may not assign this Agreement without written consent.
- Survival: Sections relating to intellectual property, restrictions, indemnification, and liability shall survive termination.
